About MAXQIO

The MAXQIO website is operated by MAXQIO Inc., Ontario, Canada. Client Services: hello@maxqio.com, (289) 588-0848. MAXQIO is a footwear and fashion house creating and offering footwear, apparel, accessories, fashion goods, collaborations, limited releases and other products introduced under the MAXQIO brand. MAXQIO may expand, modify or evolve its product categories, collections and services over time.

Eligibility

You must be legally capable of entering into a binding agreement in your jurisdiction to place an order through the MAXQIO website. If you are purchasing on behalf of another person or organization, you confirm that you have the authority to do so.

Website use

You agree to use the MAXQIO website only for lawful purposes. You must not:

• use the website for fraudulent or unlawful activity
• attempt to interfere with the operation or security of the website
• access areas or systems that you are not authorized to access
• copy, reproduce, distribute or commercially exploit MAXQIO content without authorization
• use automated systems to scrape, collect or reproduce website content without written permission
• impersonate MAXQIO or another person or business
• submit false, misleading or fraudulent information
• otherwise use the website in a manner that violates applicable law

Products & collections

MAXQIO may offer footwear, apparel, accessories and other fashion products through its collections, releases, collaborations and limited editions. MAXQIO makes reasonable efforts to ensure that product descriptions, images, specifications, dimensions, materials and other information displayed on the website are accurate. However, colours, textures, finishes and other visual characteristics may appear differently depending on your device, display or environment. Product availability may change without notice. MAXQIO reserves the right to limit quantities, discontinue products, modify designs, materials, colours, specifications or features, or introduce new products at any time.

Pricing & currency

Unless otherwise stated, prices displayed on the MAXQIO website are in United States dollars (USD). The applicable purchase price and any applicable charges will be displayed before you complete your order. MAXQIO aims to ensure that all prices displayed on the website are accurate. If an obvious pricing or product-description error occurs, MAXQIO may contact you before fulfilling the order. Applicable taxes, duties or government-imposed charges may apply depending on the customer's location and the applicable laws. MAXQIO will not knowingly use hidden mandatory fees to make an advertised price unattainable.

Orders

Placing an order constitutes an offer to purchase the selected product. After placing an order, you may receive an order confirmation acknowledging receipt of your order. An order confirmation does not necessarily mean that MAXQIO has accepted the order. MAXQIO reserves the right to refuse or cancel an order where reasonably necessary, including where:

• the product is unavailable
• there is an obvious pricing or product-description error
• information supplied by the customer is inaccurate
• fraudulent or unauthorized activity is suspected
• payment cannot be successfully processed
• circumstances outside MAXQIO's reasonable control prevent fulfillment

Pre-orders

Certain MAXQIO collections, products or releases may be offered through pre-order. A pre-order reserves a product from an upcoming release and does not represent immediate shipment. The estimated shipping period for a pre-order will be displayed on the applicable product page. Estimated dates are provided in good faith and may change because of manufacturing, quality control, logistics, supply-chain conditions or other circumstances outside MAXQIO's reasonable control. If a significant change to the expected fulfillment period occurs, MAXQIO will make reasonable efforts to notify affected customers. If MAXQIO determines that it cannot fulfill a confirmed pre-order, the customer will be notified and receive a full refund.

Pre-order cancellations

A pre-order may be cancelled by contacting MAXQIO before the order enters fulfillment or production allocation. Once an order has entered fulfillment or production allocation, cancellation may no longer be available, except where cancellation rights are provided by applicable law. Nothing in these Terms limits any cancellation or other rights that cannot legally be excluded or waived.

Payment

Payment must be successfully authorized before an order is considered confirmed. MAXQIO may use third-party payment processors to securely process transactions. By submitting payment information, you represent that you are authorized to use the payment method provided. MAXQIO does not intentionally retain complete payment-card information that is processed by its payment providers.

Shipping

MAXQIO offers complimentary worldwide shipping on eligible orders. Orders are shipped using a carrier selected by MAXQIO. Delivery times vary according to destination, carrier conditions, customs processing and other circumstances. For pre-orders, the estimated shipping period displayed on the applicable product page applies. Tracking information will be provided when available after an order ships. International customers may be responsible for customs duties, import taxes, brokerage charges or other government-imposed fees associated with importing products into their country. Such charges are outside MAXQIO's control. MAXQIO is not responsible for delays caused by customs, carriers, weather, government restrictions, strikes, transportation disruptions or other circumstances beyond its reasonable control.

Returns & exchanges

Eligible products may be returned within 14 days of delivery. To qualify for a return, the product must:

• be unworn and unused
• be in its original condition
• not show signs of wear, damage or alteration
• include original packaging, tags and accessories
• be returned in accordance with MAXQIO's return instructions

Returns, continued

Customers are responsible for return shipping costs unless the product is defective, damaged in transit or incorrectly supplied. Once a returned product has been received and inspected, an approved refund will be issued to the original payment method. Items designated as Final Sale are not eligible for return except where required by applicable law. For return requests, contact hello@maxqio.com. Nothing in this section limits rights available to consumers under applicable law.

Product care

MAXQIO products should be used, stored and maintained in accordance with any care instructions supplied with the product. Damage resulting from misuse, improper care, alteration, excessive wear or use outside the intended purpose may not qualify for a return, exchange or remedy.

Intellectual property

All content appearing on the MAXQIO website, including MAXQIO names and logos, trademarks, product designs, photographs, videos, graphics, text, product descriptions, website layouts, artwork, slogans, visual identity, collection names and other original materials, is owned by or licensed to MAXQIO Inc. unless otherwise indicated. The MAXQIO name, MAXQIO logo and related brand elements may not be reproduced, copied, modified, distributed or used commercially without prior written permission. Nothing in these Terms grants you ownership of MAXQIO intellectual property.

Collaborations

MAXQIO may collaborate with designers, artists, brands, athletes, creators, organizations or other third parties. Collaborative products may be subject to additional product-specific terms, release conditions or availability limitations. Where a collaboration involves third-party intellectual property, the applicable rights remain with their respective owners unless otherwise stated.

Limited & special releases

MAXQIO may introduce limited-edition, numbered, exclusive or otherwise restricted releases. Availability of such products may be limited and may not be restocked. MAXQIO does not guarantee that a limited or discontinued product will become available again.

User content

If you voluntarily submit reviews, photographs, comments, testimonials or other content to MAXQIO, you represent that you have the necessary rights to provide that content. By submitting content, you grant MAXQIO a non-exclusive, worldwide, royalty-free license to use, reproduce, display and publish that content for legitimate business, marketing and promotional purposes. MAXQIO is not required to publish any submitted content and may remove content that it considers inappropriate, unlawful, misleading or inconsistent with the MAXQIO brand.

Third-party services

The MAXQIO website may use or connect to third-party services, including payment processors, shipping providers, analytics providers, hosting providers and other technology services. MAXQIO is not responsible for the independent policies, practices, availability or performance of third-party services. Your use of third-party services may be subject to their own terms and policies.

Privacy

MAXQIO collects and handles personal information in accordance with its Privacy Policy. By using the website, you acknowledge that personal information may be collected, used and disclosed as described in the MAXQIO Privacy Policy.

Security

MAXQIO takes reasonable measures to maintain the security of its website and online transactions. However, no internet transmission or electronic storage system can be guaranteed to be completely secure. You are responsible for maintaining the confidentiality of any account credentials associated with your MAXQIO account. You should notify MAXQIO promptly if you believe your account has been accessed without authorization.

Accounts

If you create an account with MAXQIO, you are responsible for maintaining accurate account information and keeping your login credentials confidential. MAXQIO may suspend or terminate an account where reasonably necessary to protect the website, MAXQIO or other users.

Website availability

MAXQIO aims to keep the website available and functioning properly but does not guarantee uninterrupted or error-free access. The website may occasionally be unavailable because of maintenance, upgrades, technical problems, security issues or circumstances outside MAXQIO's reasonable control.

Disclaimers

To the fullest extent permitted by applicable law, MAXQIO provides the website and its content on an “as available” basis. MAXQIO does not guarantee that the website will always be available, that it will be free from errors, that all content will always be current or complete, or that it will be free from viruses or other harmful components. Nothing in these Terms excludes or limits any warranty, condition, right or remedy that cannot legally be excluded or limited under applicable law.

Limitation of liability

To the fullest extent permitted by applicable law, MAXQIO Inc. will not be liable for indirect, incidental, special, consequential or punitive losses arising from your use of the website or purchase of products. MAXQIO's liability in relation to a particular purchase will not exceed the amount paid by the customer for the product giving rise to the claim, except to the extent that applicable law does not permit such limitation. Nothing in these Terms excludes liability that cannot legally be excluded or limited.

Force majeure

MAXQIO will not be responsible for failure or delay in performing its obligations where the failure or delay results from circumstances beyond its reasonable control. Such circumstances may include natural disasters, severe weather, war, terrorism, civil unrest, government actions, strikes, transportation disruptions, supply-chain disruptions, manufacturing interruptions, internet or technology failures, or other unforeseen events.

International orders

MAXQIO may sell and ship products internationally. Customers are responsible for ensuring that products ordered are permitted to be imported into their destination country. Local laws, regulations, taxes, customs requirements and import restrictions may apply. MAXQIO cannot guarantee that every product will be available for delivery to every jurisdiction.

Prohibited uses

You may not use the MAXQIO website or products for unlawful purposes. You may not:

• engage in fraudulent transactions
• use stolen payment information
• attempt to obtain products through deception
• interfere with website security
• impersonate another person
• infringe intellectual-property rights
• use automated systems to abuse the website
• otherwise violate applicable laws

Changes to these terms

MAXQIO may update these Terms from time to time. The updated version will be posted on the website with a revised effective date. Changes will not retroactively alter rights and obligations arising from an order already accepted, except where required or permitted by applicable law. Your continued use of the website after updated Terms are posted constitutes acceptance of the updated Terms to the extent permitted by law.

Governing law

These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles. Subject to any mandatory consumer rights or jurisdictional rules that apply to you, disputes relating to these Terms or your purchase from MAXQIO will be subject to the applicable courts of Ontario. Nothing in this section is intended to deprive a consumer of rights or protections that cannot legally be excluded under the laws applicable to that consumer.

Consumer rights

These Terms are intended to operate consistently with applicable consumer-protection laws. Where applicable law provides a consumer with rights, cancellation rights, warranties, remedies or protections that cannot be excluded or limited by contract, those rights remain unaffected. For Ontario Internet agreements, applicable law may require specific information to be disclosed before purchase, provide an opportunity to review and correct information before acceptance, and require a copy of the agreement to be delivered to the consumer.

Entire agreement

These Terms, together with the applicable order confirmation, product-specific terms, Pre-Order Terms, Returns Policy, Shipping Policy and Privacy Policy, constitute the agreement between you and MAXQIO relating to your use of the website and purchase of products, except where applicable law provides otherwise. If there is a conflict between these Terms and a mandatory legal requirement, the mandatory legal requirement will prevail.

Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable where legally permitted. The remaining provisions will continue in effect.

No waiver

If MAXQIO does not immediately enforce a provision of these Terms, that does not mean MAXQIO has waived its right to enforce that provision later.
